Terms of Service

These Terms of Service ("Terms") govern your access to and use of the INITIATE platform ("INITIATE", "we", "us"), operated by Tyto Interactive d.b.a. INITIATE, 5575 Stillwell Rd., Santa Maria, CA 93455. By creating an account or using the platform you agree to these Terms.
1. Eligibility
You must be at least 18 years old to use INITIATE. By creating an account you represent that you are 18+ and that you have the legal authority to enter into these Terms (personally or on behalf of a studio you represent).
2. Accounts
You are responsible for the accuracy of the information on your account, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. INITIATE may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to other users.
3. Studios and creators
INITIATE is a marketplace connecting game studios ("Studios") with content creators ("Creators"). Studios fund campaigns; Creators produce and publish content in accordance with each campaign brief. INITIATE is not a party to the content itself and does not act as an employer, agent, or representative of either party.
4. Campaign funding, escrow, and fees
Campaign payments are processed through Stripe. When a Studio funds a campaign the base fee and any applicable performance-bonus commitment are held by INITIATE until the campaign settles. INITIATE charges a platform fee on each transaction (disclosed at checkout). Bonuses that are not earned within the tracking window are returned to the Studio's original payment method.
5. Creator wallets and withdrawals
Creator earnings are credited to a wallet on the platform. Withdrawals are processed via Stripe Connect to the payout method the Creator connects. Creators are responsible for their own taxes and for keeping their payout details accurate.
6. Content ownership and licenses
- Seat Campaigns. The Creator retains ownership of content they produce. The Studio receives the usage rights described in the campaign brief. Studios and Creators may separately negotiate a transfer or expanded license outside the platform.
- Master Campaigns. Upon Studio approval and settlement, full ownership of the approved deliverable transfers to the Studio, and the Creator assigns all right, title, and interest in the deliverable to the Studio.
Creators represent that their submissions are original, do not infringe third-party rights, and comply with the platforms on which they are posted.
7. Acceptable use
You agree not to use INITIATE to publish unlawful, hateful, harassing, sexually explicit, or misleading content; to circumvent platform fees; to scrape or reverse-engineer the service; or to interfere with other users. Draft videos are automatically deleted 24 hours after a final version is published.
8. Refunds and disputes
Because campaigns commit Creator time and reserved payouts, funded campaigns are generally non-refundable once a Creator has been accepted. If a Studio and Creator cannot agree on a delivery, either party may contact caleb@initiateugc.com and INITIATE will review the case in good faith and make a final settlement decision, which may include releasing funds, refunding unspent balances, or issuing platform credit.
9. Third-party services
INITIATE relies on third-party services (including Stripe for payments and payouts) to operate. Your use of those services is subject to their terms. We are not responsible for outages or actions taken by third-party providers.
10. Disclaimers
The platform is provided "as is" without warranties of any kind. We do not guarantee specific campaign results, view counts, or earnings.
11. Limitation of liability
To the maximum extent permitted by law, INITIATE's total liability arising out of or relating to these Terms will not exceed the fees you paid to INITIATE in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
12. Termination
You may close your account at any time from the profile page. We may suspend or terminate access for violations of these Terms. Provisions that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The exclusive venue for any dispute is the state or federal courts located in Santa Barbara County, California.
14. Changes
We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.
